Non-Disclosure Agreement (NDA) for Gaea 2.0 Private Beta Testing
This Non-Disclosure Agreement (“Agreement”) is entered into between QuadSpinner, located at PO Box 105, Questa NM 87556, (“Disclosing Party”) and , located at (“Receiving Party”).
The Receiving Party will participate in private beta testing for QuadSpinner's software product known as Gaea 2.0 (“Beta Software”). During this process, confidential information may be disclosed to the Receiving Party.
"Confidential Information" refers to any data, code, or information relating to Beta Software, including but not limited to, design, features, functionalities, and test results.
1. Non-Disclosure: The Receiving Party agrees not to disclose, publish, or disseminate Confidential Information to any third party.
2. Limited Use: The Receiving Party shall only use Confidential Information for the purpose of testing and providing feedback on Beta Software.
3. Return or Destroy: Upon completion of testing or upon request by Disclosing Party, Receiving Party shall return or destroy all Confidential Information.
The obligations in this Agreement shall remain in effect for two years from the date of signing or until the Beta Software is publicly released, whichever occurs first.
This Agreement is governed by the laws of the State of New Mexico.
